In House Legal Counsel


Job Objective

Under general direction and within corporate policy, Federal, State and Local laws, administers the legal activities of Company in the US to achieve company objectives through effective and efficient legal counsel. Role would be one of the company’s top senior leadership team positions and encompass responsibilities across the United States. Individual would provide legal counsel to the team leaders of Operations, Sales, Finance & Human Resources.

  • Act as a standard-bearer for our company values and philosophy and implement and maintain all necessary programs to achieve Corporate Mission and Goals.
  • Provides legal counsel on general labor and employment law, mergers and acquisitions and compliance.
  • Evaluates legal documents and contracts to limit risk and maximize benefits.
  • Represents the company in legal matters.
  • Develops and reviews product warranties and license agreements.
  • Conducts company training on legal topics.
  • Maintains confidentiality for all sensitive and protected information.
  • Keeps informed on legislative changes that affect the company.
  • Coordinates with outside counsel as necessary.
  • Works closely with senior leadership.
  • Provides counsel to senior business leaders in connection with employment issues, sales practice issues and other issues.
  • Negotiates, analyzes, and drafts contracts.
  • Reviews applicable statutes and regulations.
  • Assists with the preparation of responses to various regulatory inquiries.
  • Supervises and manages regulatory examinations conducted by external agencies.
  • Prepares and reviews registration statements of business development companies.
  • May manage and obtain licenses in various states.
  • May collaborate with business partners on risk management issues and risk management regulatory issues.
  • May prepare and report corporate information to the SEC.
  • May collaborate with a team of legal professionals.


Minimum Qualifications

The requirements listed below are representative of the minimal education, experience, knowledge, skills, and/or abilities required for this position.

Education: JD degree.

Experience: 2-5 years in legal practice or corporate law background preferred.

Skills:

  • Knowledge of, outsourcing/contracted services market.
  • Computer literacy; including Excel, PowerPoint, and Word proficiencies.
  • Excellent Oral and Written Communication Skills.
  • Possess a positive and optimistic attitude.
  • Must enjoy responsibility, accountability and opportunity to direct your own efforts.
  • Desire to achieve excellence and an aversion to mediocrity.
  • Ability to delegate, direct and follow up to ensure success in extensive and complex situations.
  • Pro-active and resourceful in nature.
  • Committed to self-development and personal growth.

Travel

Our company is based on high touch relationship and servant leadership. As such senior leadership is highly visible and engaged at our partner/customer sites. While travel is minimal, it is required for position.
