Major, Lindsey & Africa’s Interim Legal Talent group has an immediate need for an Interim Corporate Paralegal.

Overview:

Our client is seeking a temp-to-perm corporate Paralegal to support their M&C and VC teams.

Experience:

5 or more years of experience as a corporate paralegal

Location:

Redwood City, California (hybrid in office)

Responsibilities Include:

  • Assist attorneys with various corporate transactions including M&A, venture capital and securities offerings Assist with all aspects of transaction closings; including maintain closing checklists, organize workspace, draft ancillary documents, prepare signature packets, compile closing documents and prepare closing sets
  • Assist with comfort letters
  • Assist with Section 16 filings
  • Draft and file Form IDs and generate EDGAR codes
  • Prepare and file 83(b) elections
  • Assist with preparation of offering memos, registration statements and other SEC filings; liase with financial printer
  • Assist with stock plan and stock options administration including transfers, other stock and equity award administration matters, related documents, and SEC filings
  • Work with attorneys on technology and emerging and public companies’ clients
  • Organization and maintenance of various corporate entities such as corporations, partnerships, limited liability companies, and limited liability partnerships
  • Assist with ongoing corporate governance, including draft director and stockholder resolutions and maintain necessary state filings
  • Conduct due diligence investigations, on-line research of legal and non-legal data
  • Conduct research on state and federal securities laws and prepare Blue Sky filings, including use of EFD
  • Conduct research using Intelligize, Live EDGAR, and other databases
  • Proofread documents, including definitions and cross-reference checks
  • Work with Knowledge Attorneys and practice support to gather relevant knowledge materials for internal use
  • Assist with training of junior paralegals and contribute to trainings for Associates

Qualifications Include:

  • Bachelor’s degree required
  • 5+ years of paralegal experience
  • Ability to work overtime as required
  • Able to support the delivery of high-quality legal services to clients by performing technical and clerical tasks that require accuracy, attention to detail, strong organizational skills, strong written and oral communication skills
  • Enthusiastic, pro-active, self-motivated, flexible
  • Able to work autonomously in a small office with an entrepreneurial culture
  • Flexibility to learn new processes and approaches
  • Ability to multitask and prioritize work as needed
  • Ability to create a friendly and professional rapport with attorneys, staff and external parties
  • Ability to maintain confidentiality of sensitive matters and respond effectively to such situations
  • Decisive, maturity of judgment
  • Strong organizational skills, efficient
  • Knowledge of research databases, including Lexis and Westlaw
  • Strong proofreading ability, excellent attention to detail
