Assistant General Counsel - Antitrust
- GEN000097 - HybridProvide timely and effective antitrust advice to all business units in support of the Company’s business strategies and objectives.
Develop and implement comprehensive antitrust compliance management system (“ACMS”), including policies, procedures and training programs.
Represent the Company and its subsidiaries and affiliates in connection with antitrust claims, litigation, investigations, and governmental filings, providing efficient management of outside counsel to minimize, to the extent possible, reliance upon outside counsel.
Antirust Counseling and Compliance – 40%
- Provide ongoing counsel and guidance to all business units in all matters pertaining to federal and state antitrust laws and regulations.
- Advise on the effect of existing and new antitrust and trade regulation laws, regulations and court decisions on the business activities and practices of the Company.
- Develop, maintain and update elements of an effective ACMS, including Company policies, guidelines, training materials and relevant records retention.
- Advise and consult with other OGC attorneys with respect to antitrust laws and regulations, particularly in the dealer relations and sales and marketing areas.
- Review and advise on proposed contacts with competitors, including benchmarking activities and association membership and activities, interactions with multiple suppliers and Company participation on dealer group meetings.
- Proactively identify areas of risk and, keeping in mind the business needs of the enterprise, recommend potential controls and mitigation measures to avoid or minimize such risk.
- Provide antitrust advice and support to Company subsidiaries and affiliates pursuant to services agreements between the Company and such subsidiaries and affiliates.
- Consult and liaise with antitrust and completion lawyers at Volkswagen AG, Audi AG and other Group companies as necessary for effective coordination and communication and development of best practices in the areas of antitrust and completion law.
Employee Training – 30%
- Develop Company-wide antitrust training program, with focused approach to training or employees in potentially higher risk areas.
- Provide in-person training to employees throughout the year.
- Develop supplemental web-based and other training materials.
- Develop and maintain necessary record-keeping as part of the ACMS.
Pre-Merger Notifications and Government Filings – 15%
- Analyze and advise on US premerger notification filings, including Hart-Scott-Rodino and CFIUS.
- Coordinate preparation and submission of filings, working with outside counsel and Volkswagen AG or Audi AG attorneys as applicable; support similar filings in other jurisdictions.
- Handle necessary follow-up with government agencies.
- Manage outside counsel as necessary.
Litigation and Government Inquiry Management – 15%
- Handle all antitrust-related civil litigation, including defense of Company in class actions and other cases, and pursuit of claims in class actions (e.g., automotive supplier antitrust class actions) and other cases.
- Coordinate Company responses to government inquiries, subpoenas and investigations.
- Manage outside counsel as necessary.
10+ years overall, with 5+ years concentration in antitrust law
Bachelor and Law Degrees from well-recognized nationally accredited academic institutions

- Detailed understanding of all antitrust laws and regulations, and related distribution and trade practices laws and regulations;
- Hands-on experience advising clients regarding antitrust and competition laws.
- Understanding of and experience with pre-merger notifications and filings, including Hart Scott Rodino and CFIUS;
- Experience handling federal and/or state investigations in interaction with relevant agencies;
- Case and dispute management experience, including investigation, evaluation and negotiation;
- Automotive Industry experience, or experience in manufacturer/distributor/dealer relations.
- Management of outside counsel
- Experience in development of policies and training materials;
- Experience with in-person and webinar training.
- General understanding of EU Competition laws
- Domestic and international travel required
