Overview:
The Sr. Paralegal is responsible for providing legal counsel and direction associated with the acquisition and development of new restaurant locations. This person will report to a Director leading several New Restaurant Development regions. The right person for this role will have experience in all aspects of commercial real estate transactions, including understanding the typical deal lifecycle, real estate documents and acquisition closing and lease commencement process. This position also requires the skill and proficiency to substitute for the in-house attorney, including managing and providing direction to outside counsel, issue spotting and knowing when matters need to be brought to the attention of in-house counsel.

As of the date of this posting, a good faith estimate of the current pay scale for this position is $117k to $127k. This pay scale takes into account a wide range of business factors and may change over time.
Responsibilities:
  • Serve as the legal project manager for numerous and varied real estate projects
  • Review letters of intent, site plans and other new deal materials, engage and monitor outside counsel, including follow up on deliverables and assisting in-house counsel research and respond to requests from outside counsel
  • Research the scope of real estate interests, including easements, needed to order title commitments on all appropriate parcels and then order and manage receipt of title commitments and updates as needed
  • Analyze and direct strategy on legal due diligence (title, survey, environmental, etc.)
  • Engage environmental counsel, review environmental reports and documents, conduct bi-monthly calls with environmental counsel without in-house counsel involvement and serve as environmental counsel’s primary in-house contact, review environmental memos from environmental counsel and capture appropriate information, facilitate identification and resolution of environmental issues and notify in-house counsel of any open issues requiring attention
  • Assist in-house and outside counsel by identifying and facilitating resolution of legal issues as they arise throughout the deal, including title, environmental and all other due diligence
  • Review contract abstracts and title summaries and ensure legal issues have been identified and resolved by preparing summaries and issues lists prior to the expiration of the inspection period and then again prior to closing or lease commencement to facilitate resolution of any outstanding issues
  • Responsible for collection of construction reimbursements, including researching analyzing documents contractual obligations, consulting with business partners on conditions precedent to reimbursement requests and drafting demand letters for reimbursements
  • Draft correspondence, contract documents, and maintain electronic real estate file and original documents file for each new restaurant deal in the assigned regions
  • Stay current on real estate law in the quick-service restaurant and retail industry
Contract drafting, negotiation and project management of parking licenses, due diligence report waivers, right of entry agreements, non-disclosure agreements, utility and temporary construction easements and temporary occupancy licenses (e.g., police and fire departments) Minimum Qualifications:
  • Law firm or title company experience
  • Legal experience in commercial or retail real estate
  • Passion for innovation and change management

  • High level of initiative

  • Excellent planning and organizational skills with the ability to manage shifting demands and tight deadlines
