POSITION SUMMARY

Reporting to the General Counsel, the Senior Counsel, Corporate Law is the principal transactional lawyer in Federal Signal’s in-house legal department. The Senior Counsel, Corporate Law is responsible for providing strategic and transactional advice and support to the organization as well as negotiating and implementing complex corporate and financial transactions including mergers and acquisitions.

RESPONSIBILITIES

  • Serve as primary legal counsel on all acquisition and divestiture initiatives, involving oversight and direction of outside deal counsel, close coordination with in-house M&A team, and the coordination of in-house legal support where necessary;
  • Provide legal advice, counsel, and support on all initiatives involving Federal Signal’s domestic and international vehicle distributer network, including disciplinary actions and terminations;
  • Provide legal support on all real property initiatives including lease negotiations and real property purchases;
  • Develop strong, collaborative relationships with senior leaders and provide legal advice, counsel, and support to key business partners;
  • Provide direction and oversight on environmental matters;
  • Provide legal support on all matters related to the corporate credit facility;
  • Draft and negotiate contracts ranging from complex to routine agreements;
  • Support FCPA and sanctioned parties compliance initiatives;
  • Support maintenance of subsidiary corporate records;
  • Handle novel matters that arise periodically and that require a willingness to learn on the job.

REQUIRED KNOWLEDGE, SKILLS, AND ABILITIES

  • Proven track record negotiating complex legal agreements;
  • Thorough knowledge of federal, state, and local commercial and distributorship laws;
  • Ability to stay current on relevant legal developments;
  • Experience drafting and negotiating contracts and strategically managing contractual disputes;
  • Strong interpersonal and communication skills;
  • Ability to work independently, think critically and creatively, and prioritize competing demands.

REQUIRED EDUCATION/QUALIFICATIONS

  • Bachelor’s degree;
  • J.D. degree;
  • Membership in the Illinois State Bar as an attorney qualified to practice law in the State of Illinois.

REQUIRED EXPERIENCE

  • 5+ years of corporate, transactional, and M&A legal experience;
  • Law firm and in-house counsel experience preferred.
