Position Title: Chief Ethics & Compliance Officer
Position Description: The Chief Ethics and Compliance Officer reports to the Chief Legal and Administrative Officer and will be responsible for the development, administration and supervision of the Company’s Ethics and Compliance Program. This role will develop and implement appropriate corporate policies and training programs and serve as a channel of communication to receive and direct compliance issues to appropriate resources for investigation and resolution, including being an internal resource with which concerned internal or external parties may communicate concerns about possible illegal or unethical behavior within the Company.
This position will be based in the Company’s corporate headquarters in Atlanta, GA. In partnership with the Chief Legal and Administrative Officer, this position will be expected to implement all necessary actions to ensure achievement of the objectives of an effective compliance program.
Chief Ethics and Compliance Officer will manage a team of seven (7), which includes three (3) direct reports.
GENERAL DUTIES AND RESPONSIBILITIES:
- Develops, initiates, maintains, and revises policies and procedures for the general operation of the Ethics and Compliance Program and its related activities to prevent illegal, unethical, or improper conduct.
- Manages day-to-day operation of the Ethics & Compliance Program and Global Security & Data Privacy functions.
- Periodically reviews, benchmarks, and updates the Company’s Code of Conduct to ensure continuing currency and relevance.
- Collaborates with other departments (e.g., Internal Audit, Human Resources, Information Security) to direct compliance issues to appropriate existing channels for investigation and resolution.
- Consults with attorneys on a global basis to resolve difficult legal compliance issues.
- Responds to alleged employee misconduct received via the Ethics Hotline and other channels, by following internal investigation protocols and guidance.
- Acts to ensure that compliance issues/concerns within the Company are being appropriately evaluated, investigated and resolved.
- Identifies potential areas of compliance vulnerability and risk; develops/implements corrective action plans for resolution of problematic issues, and provides general guidance on how to avoid or deal with similar situations in the future.
- Provides reports on a regular basis to keep the Board of Directors and senior management informed of the operation and progress of compliance efforts.
- Institutes and maintains an effective compliance communication program for the organization, including promoting (a) use of the Compliance Hotline; (b) heightened awareness of the Code of Conduct, and (c) understanding of new and existing compliance issues and related policies and procedures.
- Develops an effective compliance training program for all employees and tracks completion for reporting requirements.
- Monitors the performance of the Ethics and Compliance Program and related activities on a continuing basis, taking appropriate steps to improve its effectiveness.
- Manages systems to ensure compliance with anti-bribery/anti-corruption and trade sanctions regulations, and counsels the business on such requirements.
- Minimum of 8 years of experience in practice of law and/or ethics and compliance roles.
- Relevant experience at a publicly traded company with global operations
- Outstanding academic credentials
- Strong research, writing, and oral communication skills
- Sound judgment, problem-solving and client management skills
- Ability to work independently, as well as in a team environment
- Ability to be flexible and adapt to a dynamic workload
- Strong organizational skills and focus on sustainable and efficient processes
- Strong sense of integrity and appreciation for confidentiality issues
- Experience counseling on or managing compliance with import regulations and trade sanctions
- MS Office (Word, Excel, Outlook)
Education/experience/certifications:
- JD required
